Sales Terms and Conditions

In these Sales Terms and Conditions (Sales Terms), “we”, “us” and “our” mean Euro Car Electronics Pty Ltd (ABN 84 168 788 029), trading as Euro Car Upgrades, including its successors and permitted assigns. “You” and “your” mean the person, organisation or entity purchasing products or services from us.

These Sales Terms apply to purchases made through eurocarupgrades.com.au (Site). They form part of the agreement between you and us.

Please read these Sales Terms before ordering. By placing an order, you confirm that you have had a reasonable opportunity to read and understand them and agree to be bound by them. You must be at least 18 years old, or have the consent of a parent or legal guardian who is at least 18 years old, to place an order.

Our Privacy and Cookie Policy explains how we collect, use and protect personal information and is available on the Site.

1. Customer Accounts
  1. You may place an order as a guest or through a customer account where this option is available.

  2. You are responsible for keeping your account login details confidential and for activity carried out through your account, except where that activity was not authorised by you and was not caused or contributed to by your failure to take reasonable care.

  3. You must ensure that the information provided to us is complete, current and accurate.

2. Products, Services and Orders
  1. You may order products or services displayed on the Site, subject to availability and these Sales Terms.

  2. You are responsible for reviewing the product or service description, vehicle compatibility, quantity, price, delivery address and other order details before completing checkout.

  3. Placing an order is an offer to purchase from us. An automated order confirmation confirms that we have received your order but does not prevent us from reviewing availability, payment, pricing, product information, suspected fraud or vehicle compatibility before accepting and supplying the order.

  4. We may reject or cancel an order before dispatch where reasonably necessary, including because the product is unavailable, payment cannot be validated, we cannot contact you, the order appears fraudulent, the product has been listed with a material pricing or description error, or the product is clearly unsuitable for the vehicle information supplied. If we cancel an order after receiving cleared payment, we will refund the amount paid for the cancelled item and any related delivery charge.

  5. Some products offered on the Site are intended only for motorsport, off-road use or use on private property. You are responsible for checking and complying with the laws, regulations, vehicle standards, registration requirements, insurance conditions and other requirements applying to the intended use of the product.

  6. Products described as vehicle-specific may depend on the model, generation, production date, engine, body style, original equipment, control modules, software level or other vehicle information. You must provide complete and accurate vehicle information where requested.

  7. If a product page displays the warning “WARNING: This item requires professional installation to protect the warranty”, the professional-installation requirements in clause 10 apply to our express warranty for that product.

  8. We do not provide change-of-mind refunds for navigation maps, speed-camera products, activated software, licence products or other digital products. This does not limit any rights or remedies that cannot be excluded under the Australian Consumer Law.

3. Prices and Payment
  1. Prices are stated in Australian dollars and include Australian GST where applicable. Delivery, insurance and other charges will be displayed separately where applicable.

  2. You must pay using a payment method offered at checkout. Your payment may be processed when the order is placed.

  3. You must not pay or attempt to pay using fraudulent, unauthorised or unlawful means. If payment cannot be successfully processed, the order may be cancelled.

  4. Where you pay by card, you confirm that you are authorised to use the card and that the payment information supplied is complete and accurate.

  5. Buy-now-pay-later, finance and other third-party payment services are provided under the third party’s own terms. We are not responsible for interest, account charges or other amounts imposed by that provider.

  6. For international orders, import duties, taxes, customs charges and clearance fees imposed by the destination country are your responsibility unless we expressly state otherwise.

  7. We may take reasonable steps to recover overdue and undisputed amounts, including reasonable debt-recovery costs to the extent permitted by law.

4. Installation and Installer Referrals
  1. Some products require professional installation, coding, programming, parameterisation, calibration, component-protection procedures or other commissioning work.

  2. If the relevant product page states that professional installation is required to protect the warranty, the product must be installed by a suitably qualified and experienced automotive technician, auto electrician or other appropriately qualified professional. You should retain the installer’s invoice and all coding, programming and diagnostic records.

  3. Where we provide contact details for an independent installer, the installer normally contracts with you directly unless we expressly agree otherwise in writing. The installer is responsible for its own quotation, workmanship, scheduling, charges and services.

  4. Submitting an enquiry or booking request does not create a binding installation agreement unless and until the relevant service provider accepts the booking.

5. Availability, Lead Times and Cancellation
  1. All orders are subject to availability. Stock status and lead times displayed on the Site are based on the information reasonably available to us and may change.

  2. Dispatch and delivery timeframes are estimates unless we expressly agree to a fixed date in writing. Supplier-stock, incoming, backordered and special-order products may take longer than stocked products.

  3. If we become aware of a significant delay or cannot supply an item, we will contact you. Depending on the circumstances, you may choose to continue waiting, select an available alternative, receive store credit, or cancel the affected item for a refund.

  4. We do not accept returns or cancellations because you changed your mind. You may ask us to cancel an order before dispatch, but approval is at our discretion and may not be possible once an item has been ordered from a supplier, programmed, activated, modified, custom-made, specially imported or prepared for dispatch.

  5. Once an order has been dispatched, it cannot be cancelled for change of mind.

  6. Nothing in this clause limits any right to cancel or obtain a remedy where required by the Australian Consumer Law.

6. Delivery, Store Pickup and Risk
  1. We deliver to the locations and by the delivery methods made available through the Site. Some products or locations may not be eligible for every delivery service.

  2. Delivery charges are calculated at checkout where possible. Heavy, oversized or remote-area deliveries may require a separately confirmed freight charge. We will obtain your approval before applying an additional charge.

  3. Please provide a complete and accurate delivery address. We are not responsible for delay or additional carrier charges caused by incomplete or incorrect information supplied by you, except to the extent caused by our own act or omission.

  4. Delivery estimates are not guaranteed and may be affected by stock availability, supplier delays, weather, carrier congestion, regional access and other matters outside our reasonable control.

  5. If Authority to Leave is selected, the carrier may leave the parcel without obtaining a signature where it considers a suitable location is available. You should select Authority to Leave only where there is a secure and weather-protected delivery location.

  6. Title to products passes to you when we have received full payment and the products have been delivered or collected. Risk of loss or damage passes on delivery or collection, subject to any rights that cannot be excluded by law.

  7. Store pickup is available where offered at checkout. You must wait for confirmation that the order is ready before attending.

  9. If a product is lost or damaged in transit before delivery, contact us promptly so that we can investigate and provide any remedy required by law.

7. Discount Codes and Promotions
  1. Promotional codes and offers are subject to the conditions stated when they are issued.

  2. A promotional code must be applied at checkout and cannot normally be added retrospectively.

  3. Unless otherwise stated, promotions cannot be combined and may exclude selected brands, products, services, trade pricing, clearance items or existing orders.

8. Intellectual Property
  1. All intellectual property rights in the Site, its branding, text, photographs, graphics, videos, product-page content and other material created by or licensed to us remain owned by us or the relevant licensor.

  2. You may use the Site for personal or internal business purchasing purposes. You must not reproduce, modify, republish, sell, scrape or commercially exploit Site content without the prior written consent of the rights holder, except as permitted by law.

9. Complaints and Disputes
  1. If you have a complaint or dispute, please contact us and provide your order number, a description of the issue and the outcome you are seeking.

  2. Both Parties agree to make a genuine attempt to resolve the issue directly and in good faith.

  3. If the dispute cannot be resolved directly, either Party may propose mediation. The Parties may agree on a mediator or ask the Queensland Law Society or another appropriate body to nominate one.

  4. Nothing in this clause prevents either Party from exercising any right to seek urgent relief, use an applicable consumer-protection process or commence proceedings where permitted by law.

10. Australian Consumer Law, Returns and Express Warranty
  1. Australian Consumer Law: Our goods and services are supplied subject to the consumer guarantees in the Competition and Consumer Act 2010 (Cth), Schedule 2, known as the Australian Consumer Law (ACL). Nothing in these Sales Terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot legally be excluded, restricted or modified.

  2. Mandatory consumer notice:

    Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

    • to cancel your service contract with us; and
    • to a refund for the unused portion, or to compensation for its reduced value.

    You are also entitled to choose a refund or replacement for major failures with goods.

    If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion.

    You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.

  3. Express warranty periods: Unless a different express warranty period is stated on the product page, quotation or order confirmation:

    1. new products have a 12-month express warranty; and

    2. remanufactured or used products have a 30-day express warranty.

    The express warranty period starts on the date the product is delivered to or collected by you.

    These periods apply only to our voluntary express warranty. They do not limit the period for which rights or remedies may be available under the ACL.

    Our express warranty does not apply to products purchased for wholesale or resale. This exclusion does not remove any ACL rights that may still apply to a particular business purchase.

  4. Products requiring professional installation: Where a product page displays the warning “WARNING: This item requires professional installation to protect the warranty”, our express warranty applies only where:

    1. the product was installed by a suitably qualified and experienced automotive technician, auto electrician or other appropriately qualified professional;

    2. the installer held any licence or authorisation required by law;

    3. the product was installed in the correct vehicle and application in accordance with applicable instructions;

    4. all required coding, programming, parameterisation, calibration, component-protection procedures and commissioning were completed correctly; and

    5. you retain evidence of the installation and any required coding or commissioning.

    These requirements are conditions of our voluntary express warranty only. They do not exclude any ACL rights that cannot legally be excluded.

  5. Evidence for installed electrical or electronic products: For an express warranty claim relating to a product installed by an external installer, we may reasonably require:

    1. proof of purchase;

    2. the installer’s invoice showing the installation date, vehicle details and work completed;

    3. coding, programming, calibration or commissioning records where applicable; and

    4. a written diagnostic report from the professional installer.

    The report should identify, where relevant, the vehicle registration and VIN, product part number and serial number, symptoms and fault codes, diagnostic equipment used, power-supply, ground, wiring, communication and vehicle-side checks, coding or calibration completed, and the technical basis for concluding that the supplied product is faulty.

    We may waive an evidence requirement where the product was defective before installation, the fault is readily apparent, or requiring the information would be unreasonable in the circumstances.

    Failure to provide reasonably required evidence may result in a claim being declined under our express warranty. Any claim under the ACL will still be considered separately.

  6. Express warranty exclusions: To the extent permitted by law, our express warranty does not cover a fault or damage caused or contributed to by:

    1. incorrect installation, wiring, coding, programming, parameterisation or calibration;

    2. incorrect polarity, voltage spikes, poor power supply, defective grounds or vehicle wiring faults;

    3. use in an incompatible vehicle or application;

    4. water, contamination, corrosion, impact, fire, accident or other external damage;

    5. misuse, neglect, abnormal use or failure to follow instructions;

    6. unauthorised modification, opening, dismantling or attempted repair;

    7. a fault in another vehicle component or system;

    8. normal wear, consumption or deterioration consistent with the product’s nature, age and use; or

    9. a condition or defect that was specifically disclosed before purchase.

    An exclusion applies only to the extent that the excluded event caused or contributed to the reported fault. Nothing in this clause excludes any rights that cannot legally be excluded.

  7. Making a claim: Before returning a product, complete our Return Form and wait for return instructions.

    We may request proof of purchase, photographs, video, fault codes, diagnostic information, installation records and other information reasonably relevant to the reported issue. We may inspect and test the product before deciding the claim.

    We aim to assess claims within approximately two weeks after receiving the product and all reasonably required information. Complex technical faults or external manufacturer assessments may take longer.

  8. Remedies: For a valid claim under our express warranty, we may repair the product, replace it with the same or an equivalent product, or provide a refund where repair or replacement is not reasonably available.

    This does not affect any right you may have to choose a refund or replacement under the ACL, including where the product has a major failure.

  9. Return freight and claim expenses: Unless the ACL requires otherwise, you are initially responsible for removal, diagnosis, reinstallation and the cost of returning a product that can be posted or easily transported.

    If we confirm that a product has a fault covered by the ACL, we will reimburse reasonable return costs where required by law. Please retain evidence of those costs.

    Where an allegedly faulty product is large, heavy, difficult to remove or cannot be transported without significant cost, contact us before arranging transport so that appropriate collection or assessment arrangements can be made.

    If assessment confirms that the product is not faulty or that the issue was caused by an excluded event, you may be responsible for reasonable inspection, collection and return costs. We will provide a reasonable estimate before incurring a material charge.

  10. Custom, special-order, modified and digital products: These products are not returnable for change of mind. However, they remain subject to any rights and remedies that apply where they are faulty, incorrectly supplied or otherwise fail to comply with the ACL.

  11. Change of mind: We do not accept returns, refunds or exchanges because you changed your mind, selected the wrong item, found a lower price elsewhere or no longer require the product.

    This policy does not apply where the product is faulty, incorrectly supplied or another right or remedy applies under the ACL.

  12. Packaging returns: You must package returned products with reasonable care to prevent damage in transit and follow the return instructions provided by us. Do not send a product until a return has been authorised.

  13. Warranty provider: This express warranty is provided by:

    The benefits provided by this express warranty are in addition to other rights and remedies available under the ACL.

11. Limitation of Liability and Disclaimers
  1. Nothing in this clause or elsewhere in these Sales Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot legally be excluded, restricted or modified, including under the ACL.

  2. We take reasonable care to keep Site information accurate and current, but product specifications, photographs, compatibility data, supplier information, stock status and pricing may occasionally contain errors or change without notice.

  3. To the extent permitted by law, we are not liable for indirect, remote or consequential loss that was not reasonably foreseeable, or for loss caused by your incorrect vehicle information, unlawful use, misuse, incompatible application, unauthorised modification, or installation contrary to the product requirements.

  4. To the extent permitted by law, any limitation or exclusion in these Sales Terms applies only to the extent that it is fair, reasonable and legally enforceable in the circumstances.

12. Changes to These Sales Terms
  1. We may update these Sales Terms from time to time by publishing a revised version on the Site.

  2. The Sales Terms applying to an order are generally the version accepted when that order was placed. A later amendment will not retrospectively change an accepted order unless required by law or agreed by both Parties.

13. Indemnity

To the extent permitted by law, you are responsible for loss, damage, liability or reasonable costs suffered by us as a direct result of your material breach of these Sales Terms, unlawful use of a product, fraudulent conduct, or knowingly providing materially incorrect information. This clause does not require you to indemnify us for loss caused by our own negligence, breach or unlawful conduct.

14. General
  1. Privacy: We handle personal information in accordance with applicable privacy law and our Privacy and Cookie Policy.

  2. Refusal or suspension: We may refuse an order or suspend an account where reasonably necessary because of fraud, abusive conduct, unlawful activity, security concerns, repeated payment failure or a material breach of these Sales Terms. This does not affect any rights relating to an order already accepted or any rights that cannot be excluded by law.

  3. GST: Prices include GST where applicable unless expressly stated otherwise.

  4. Relationship: These Sales Terms do not create a partnership, joint venture, employment or agency relationship between the Parties.

  5. Force majeure: We are not responsible for delay or failure caused by events outside our reasonable control. If such an event prevents supply for a significant period, either Party may have rights to cancel the affected order, including any rights under the ACL.

  6. Notices: Notices relating to these Sales Terms may be sent using the contact details supplied in the order or the contact details published below.

  7. Waiver: A failure or delay in exercising a right does not waive that right.

  8. Assignment: You must not assign your contractual rights or obligations without our prior written consent, except where assignment is permitted by law.

  9. Severability: If a provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary, and the remaining provisions will continue to apply.

  10. Governing law: These Sales Terms are governed by the laws of Queensland and the Commonwealth of Australia. The Parties submit to the jurisdiction of courts and tribunals that have authority to hear the dispute. Nothing in this clause prevents a consumer from using a court, tribunal or process available under applicable consumer law.

  11. Entire agreement: These Sales Terms, the order details and any policies expressly incorporated into them form the agreement relating to the online purchase and replace earlier discussions or representations about that purchase, except for rights or representations that cannot legally be excluded.
